United Nanny User Terms of Service — United States

These United Nanny User Terms of Service are a legal agreement between Nanny ABCs, LLC as United Nanny. (“United Nanny”, “we”, “agency” or “us”) and you, the user of the United Nanny at-home domestic service providers or child caregiver candidate recruitment service as either a client or a candidate (“you”). By using the United Nanny service, you agree to be bound by these terms and conditions.

These Terms of Service (the "Terms" or "Agreement") set forth the terms and conditions under which individuals residing in the United States may use the United Nanny.com website (the "Site") (and any other United Nanny branded websites, web pages, mobile applications and mobile websites operated by United Nanny) and/or the United Nanny Services (defined below).

Please read these Terms before using the Site or the Services. By using the Site or Services, you hereby represent, warrant, understand, agree to and accept these Terms and any applicable Additional Terms in their entirety whether or not you submit an application to be a Nanny (as defined below), become a Customer (as defined below) or are otherwise a user of the Site and/or Services ("Users").

These Terms include the United Nanny Privacy Policy, which is incorporated into these Terms by reference. If you object to anything in these Terms or the Privacy Policy, do not use the Site or the Services.

These Terms, including the Privacy Policy, are subject to change at any time. United Nanny will notify you about significant changes in these Terms by sending a notice to the email address you provided in your application, or by placing a prominent notice on the Site, so that you can choose whether to continue using the Site and/or Services. Significant changes will go into effect no less than 30 days after United Nanny notifies you. Non-material changes or clarifications will take effect immediately upon posting of the updated Terms on the Site. It is solely your responsibility to periodically check the “Terms and Use” tab at www.United Nanny.com for updates. Any use of the Site or the Services by you after the effective date of any changes will constitute your acceptance of such changes.

The "Services" shall mean any of the various services that United Nanny provides through the Site or any other channels, including over the telephone, and including providing information to and about qualified men who provide care services (individually a “Nanny” or collectively, "at-home domestic service providers or child caregiver candidate"), and to and about individuals seeking child care from United Nanny (each a "Customer"), ordering and providing results for background checks on at-home domestic service providers or child caregiver candidate, and all other actions taken by United Nanny to connect at-home domestic service providers or child caregiver candidate and Customers.

Description of Services; Limitations; User Responsibilities

About the Services

United Nanny offers various Services to help place domestic care childcare providers candidates, such as at-home domestic service providers or child caregiver candidate, with interested Customers, also referred to as a Client. The Services include, among others:

· Vetting at-home domestic service providers or child caregiver candidate by obtaining background checks and requiring and reviewing additional personal information about at-home domestic service providers or child caregiver candidate before allowing them to apply for jobs with Customers and before creating profiles for at-home domestic service providers or child caregiver candidate and sending any Nanny profiles to Customers.

· Collecting information from Customers to generate a job description for that Customer's needs.

· Sending relevant job descriptions to at-home domestic service providers or child caregiver candidate; and sending relevant Nanny profiles to Customers to allow Customers and at-home domestic service providers or child caregiver candidate to narrow the pool of Customers or at-home domestic service providers or child caregiver candidate they are interested in meeting based on their needs and preferences, while maintaining the confidentiality of the Customers' and at-home domestic service providers or child caregiver candidate' contact information until the Customer and Nanny consent to an in-person interview.

Limitations of the Services

United Nanny offers a variety of Services to help Users find, coordinate, and maintain quality care from at-home domestic service providers or child caregiver candidates. However, United Nanny does not employ any at-home domestic service providers or child caregiver candidates. Customers are the potential employers of at-home domestic service providers or child caregiver candidates and are responsible for compliance with all applicable employment and other laws in connection with any employment relationship they establish (such as applicable payroll, tax and minimum wage laws).

Further, United Nanny does not have control over the quality, timing, or legality of the services actually delivered by at-home domestic service providers or child caregiver candidates, nor of the integrity, responsibility or actions of Customers or at-home domestic service providers or child caregiver candidates. United Nanny recommends Customers and at-home domestic service providers or child caregiver candidates to one another based strictly on geographic location and the information available to us from Customer and Nanny applications and background checks. United Nanny does not guarantee or make any representations about the suitability, reliability, timeliness, and accuracy of the services provided by at-home domestic service providers or child caregiver candidate or the integrity, responsibility or actions of Customers or at-home domestic service providers or child caregiver candidate whether in public, private or offline interactions.

Customer and Nanny content is primarily user generated, and United Nanny does not control or vet user generated content for accuracy as a general matter. United Nanny does not assume any responsibility for, nor does United Nanny guarantee or warrant as to, the accuracy or reliability of any information provided by at-home domestic service providers or child caregiver candidate or Customers on or off this Site.

United Nanny is not responsible for the conduct, whether online or offline, of any Customer, Nanny or other user of the Site or Services. Moreover, United Nanny does not assume and expressly disclaims any liability that may result from the use of information provided on the Site. All users, including Customers and at-home domestic service providers or child caregiver candidate, hereby expressly agree not to hold United Nanny (or United Nanny's officers, members, Candidates, independent contractors, subsidiaries, other affiliates, successors, assignees, or agents, hereinafter "Affiliates") liable for the action or inaction of any Customer, Nanny or other third party or for any information, instruction, advice or services which originated through the Site, and, to the maximum extent permissible under applicable law, United Nanny and its Affiliates expressly disclaims any liability whatsoever for any damage, suits, claims, and/or controversies that have arisen or may arise, whether known or unknown from any Customer, United Nanny or other third party.

User Responsibilities

United Nanny conducts background checks and other basic vetting of at-home domestic service providers or child caregiver candidates. However, information obtained by United Nanny about at-home domestic service providers or child caregiver candidates should not be taken as complete, accurate, up-to-date or conclusive of the Nanny's suitability as an Candidate or care provider. Customers are responsible for interviewing, performing any additional background and reference checks on, and verifying information provided by at-home domestic service providers or child caregiver candidate, and ultimately selecting an appropriate Nanny for themselves and their family. Similarly, the information obtained by Nanny about Customers is extremely limited and should not be taken as complete, accurate, up-to-date or conclusive; and it is the sole responsibility of each Nanny to determine and verify additional information and make an informed decision about Customers for which it will provide service.

Each Customer is also responsible for complying with all applicable employment and other laws in connection with any employment relationship they establish, including verifying the age of the Nanny they select as well as that Nanny's eligibility to work in the United States.

Eligibility to Use the Site and Services; Representations and Warranties

Eligibility

To be eligible to use the Services, you must meet the following criteria:

· If you are applying to be a Nanny, you must be permitted to legally work within the United States.

· You must be eighteen (18) years of age or older. If you do not meet the above age requirements, you are not permitted to use or apply to use the Site or Services.

· The Site and the Services are currently available only to individuals in the jurisdiction of the 50 United States. Nanny makes no claims that the Site or any of its content is accessible or appropriate outside of the United States. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

· Neither you nor any member of your household have ever been (i) the subject of a complaint, restraining order or any other legal action involving, arrested for, charged with, or convicted of any felony, any criminal offense involving violence, abuse, neglect, fraud or larceny, or any offense that involves endangering the safety of others, dishonesty, negligence or drugs, or (ii) registered, or currently required to register, as a sex offender with any government entity.

· If you are an individual Customer you must not have had fifteen or more Candidates for each working day in each of twenty or more calendar weeks in the current or preceding calendar year (or five or more if you are seeking services in the State of California).

· If you provide child care services in the State of Kansas, you must not be a licensed day care provider or provide your services outside the child's home.

· You must not be using the Services for reasons that are in competition with United Nanny.

Representations and Warranties

By applying to use and/or using the Site or the Services, you represent and warrant that you have the right, authority and capacity to enter into these Terms and you commit to abide by all of the terms and conditions hereof.

In addition, you represent and warrant that you and each member of your household (i) have never been the subject of a complaint, restraining order or any other legal action involving, arrested for, charged with, or convicted of any felony, any criminal offense involving violence, abuse, neglect, fraud or larceny, or any offense that involves endangering the safety of others, dishonesty, negligence or drugs, and (ii) are not nor have ever been registered, and are not currently required to register, as a sex offender with any government entity.

3. Rules for Use of Services

Application and Content Restrictions

For purposes of this Article 3, "Content", means any communications, images, sounds, videos, material, data, and information that you provide or transmit to another in connection with United Nanny's Services, including without limitation all information included in your application. By providing any Content while using the Services, you agree, represent and warrant as follows:

· You are providing accurate, current and complete information in connection with your application for use of the Site and the Services.

· You will submit an application in your own legal name, even if you are seeking care for another individual or family member.

· All Content you provide will be in English as United Nanny is not currently supported in other languages.

· You are solely responsible for your Content. You will not transmit to other users any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity), or advocate, promote or assist any unlawful act such as copyright infringement or computer misuse, or give the impression that any Content emanates from United Nanny where that is not the case. You will not provide inaccurate, misleading, defamatory or false information to Nanny or to any other user of the Site, and all opinions stated as part of Content must be genuinely held. Without limiting the foregoing, you represent and warrant to United Nanny that you have the right and authority to post all information you post about yourself or others, including without limitation that you have authorization from a parent or guardian of any minor who is the subject of any Content you submit.

· You have the right and hereby grant to United Nanny, its Affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, reproduce, adapt, modify and distribute your Content and to prepare derivative works of, or incorporate into other works, such Content, and to grant and authorize sublicenses of the foregoing. You further represent and warrant that public posting and use of your Content by United Nanny will not infringe or violate the rights of any third party.

· Your use of the Services must be in accordance with any and all applicable laws and regulations.

· United Nanny is not responsible for any claims relating to any inaccurate, untimely or incomplete information provided by users of the Site.

United Nanny does not: (i) guarantee the accuracy, completeness, or usefulness of any information obtained by a third party through or in connection with the Services, or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by any party that appears through the Services. Under no circumstances will United Nanny or its Affiliates be responsible for any loss or damage resulting from your reliance on information or other content transmitted to or by any user of the Site or Services.

To the maximum extent permitted by law, United Nanny disclaims any liability whatsoever for any misstatements and/or misrepresentations made by any users of the Site or Services. Users do hereby represent, understand and agree to hold United Nanny harmless for any misstatements and/or misrepresentations made by or on behalf of them in any venue.

Exclusive Use

If you are a Customer, you may use United Nanny only to find care for your children, grandchildren or individuals for whom you are otherwise the legal guardian. If you are a Nanny, you may use United Nanny only to find jobs for yourself. You are responsible for all activity on and use of the Site and the Services, and you may not assign or otherwise transfer your profile, or other use of the Site or Services to any other person or entity.

Prohibited Uses

By using the United Nanny Site or Services, you agree that you will not under any circumstances:

· use the Site, Services, or any information derived from the Site or the Services in any way that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable and offensive;

· scrape or otherwise take from the Site and/or Services, by any means or action, Nanny or Customer information, including but not limited to, names, addresses, phone numbers, or email addresses

· use the Site or Services for any unlawful purpose, for any purpose not expressly intended by United Nanny or for the promotion of illegal activities;

· harass, abuse or harm (or attempt to harass, abuse or harm) another person;

· claim to be another Nanny user, or use the Site or Services on behalf of another user;

· provide false or inaccurate information when submitting an application to United Nanny, using the Services, or communicating with other Users;

· attempt to re-apply with United Nanny if United Nanny has terminated you from the Site and/or Services for any or no reason;

· interfere or attempt to interfere with the proper functioning of United Nanny's Site or Services;

· mis-use or mis-appropriate Site content;

· make any automated use of the system, or take any action that would impose or potentially impose an unreasonable or disproportionately large load on the United Nanny servers or network infrastructure;

· use contacts made by or through United Nanny for any commercial solicitation purposes;

· bypass any robot exclusion headers or other measures United Nanny takes to restrict access to the Service or use any software, technology, or device to scrape, spider, or crawl the Service or harvest or manipulate data; or

· to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm Nanny or other Users or expose them to liability.

To protect Users from prohibited activity, United Nanny reserves the right to take appropriate actions, including but not limited to restricting the number of profiles a Customer may view or the number of job postings a Nanny may receive, or any other action as United Nanny deems appropriate in its sole discretion. Should United Nanny find that you violated the Terms, United Nanny reserves the right, at its sole discretion, to immediately terminate your use of the Site and Services. Further, in order to protect the integrity of the Site and the Services, United Nanny reserves the right at any time in its sole discretion to block Users from certain IP addresses from accessing the Site.

The Site and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by United Nanny, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

You are permitted to use the Site for your personal, non-commercial use only. You must not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on the Site, except to store files automatically cached by your web browser for display or print a reasonable number of pages of the Site for a permitted use.

Payment And Refund Policy

In order to utilize the United Nanny Services, the user of such Services or product offerings must pay United Nanny a fee in the amount set forth on the page which describes the service and in accordance with the provisions below. In addition, the Customer is responsible for any state or local sales taxes associated with the Services purchased.

Billing and Payment

Certain aspects of the Services may be subject to payments ("Fees") now or in the future (the "paid services"). Please note that any payment terms presented to you in the process of using or signing up for a paid service are deemed part of these Terms of Use. In addition, you are responsible for any state or local sales taxes associated with the Services purchased.

United Nanny uses a third-party payment processor to bill you for paid services. The processing of payments will be subject to the terms, conditions and privacy policies of the payment processor in addition to these Terms of Use. United Nanny shall not in any event be responsible for error by the payment processor. By choosing to use paid services, you agree to pay Nanny, through the payment processor, all charges at the prices then in effect for the applicable Services in accordance with the applicable payment terms, and you authorize United Nanny, through the payment processor, to charge your credit card or other payment provider (your “payment method”).

You agree to make payment using that selected payment method. United Nanny reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment. The terms of your payment will be based on your payment method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your payment method.

If Nanny, through the payment processor, does not receive payment from you, you agree to pay all amounts due to United Nanny on demand. United Nanny's third party payment service provider may receive updated credit card information from your credit card issuer. The disbursement of the updated credit card information is provided to United Nanny's third party payment service provider at the election of your credit card issuer. United Nanny is not responsible for the distribution of your credit card information. It is at the sole election of your credit card issuer. Your credit card issuer may give you the right to opt out of the update service. It is your responsibility to contact your credit card issuer with regards to your right to opt out of the update service.

If the amount to be charged to your payment method varies from the amount you preauthorized (other than due to the imposition or change in the amount of state sales taxes), you have the right to receive, and United Nanny shall provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction. Any agreement you have with your payment provider will govern your use of your payment method. You agree that we may accumulate charges incurred and submit them as one or more aggregate charges.

Billing and Payment

Your non-termination or continued use of a paid service reaffirms that we are authorized to charge your payment method for that paid service. We may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the paid service.

Refund Policy

The engagement fee is good for 6 months of United Nanny’s services starting on the date a placement agreement has been requested. The placement fee includes any placements and replacements. The placement is only successful if the Client decides to hire a Candidate sent by United Nanny. If the Client ultimately chooses not to hire a Candidate sent by United Nanny, United Nanny agrees the placement was unsuccessful and United Nanny agrees to issue a full refund of all fees incurred for services or product.

If the Candidate fails to remain in the position for a period of 30 days, United Nanny shall refund the Client all fees within 3 days after United Nanny has been notified.

The Client is aware that once a refund is issued, it typically takes up to two weeks for the payment to arrive back in the Client’s account.

Once the initial Candidate is successfully placed for 30 days, no refunds will be issued and the replacement policy will take effect. United Nanny agrees to replace the Candidate in accordance with the package’s limits selected by the Client free of charge (i.e. 30, 60, or 90 days from the Candidate’s first day of employment or other engagement with the Client).

If no position has been furnished by United Nanny to the Client, then the registration fee shall be returned to the Client after 30 days and within 6 months from the date of receipt thereof, less the amount that has been actually expended by the licensee in checking the references of the applicant, and an itemized account of such expenditures shall be presented to the applicant on request at the time of returning the unused portion of such registration fee.

Replacement Policy:

If the initial Candidate leaves Client’s employment within the replacement policy time limits set forth in the Clients selected placement package (i.e. 30, 60, or 90 days from the Candidate’s first day of employment or other engagement with the Client), United Nanny will make reasonable efforts according to applicable law for 30 days to provide additional referrals for a maximum of one replacement Candidate to Client. Client has 30 days from the date of the Candidate’s last day of employment or other engagement with Client to invoke this replacement policy with United Nanny. United Nanny’s obligation to provide additional referrals is expressly conditioned on Client’s (1) satisfaction of all or its obligations under this agreement, including but not limited to payment of all United Nanny’s fees and charges in a timely manner: (2) notification to United Nanny within 48 hours of the Candidate’s termination of employment: (3) abiding by all applicable laws, including paying the Candidates in a timely manner in full as required by law: (4) not materially changing the Candidate’s job duties or job description: (5) providing United nanny with a fully executed copy of the Client’s work agreement with the Candidate by the Candidate’s first day of employment or engagement with Client: (6) not engaging in any acts of harassment, abuse, or moral turpitude in the context of employment relationship. Determining compliance with these conditions is in the sole and absolute discretion of United Nanny. If Client fails to satisfy all of the aforementioned conditions, United Nanny shall have no further obligation to Client. United Nanny’s obligation to provide additional referrals shall not apply if the Candidate gives Client notice of their international to terminate their employment with Client at the end of the time period indicated in the Client’s selected placement Package (i.e. 30, 60, or 90 days from the Candidate's first day of employment or other engagement with Client.)

Once the initial Candidate is successfully placed, no refunds will be issued and the replacement policy will take effect. The AGENCY agrees to replace the Candidate free of charge within one year from the date of this agreement.

Background and Verification Checks

Background Checks For at-home domestic service providers or child caregiver candidate

United Nanny procures certain background check services for at-home domestic service providers or child caregiver candidate from consumer reporting agencies in United Nanny's discretion (collectively "Background Checks"). Customers and at-home domestic service providers or child caregiver candidate may always obtain additional background checks on at-home domestic service providers or child caregiver candidate or on themselves (with consent and in accordance with applicable law) in Customers sole discretion. United Nanny is not responsible for and shall not maintain records of any background checks obtained by a Nanny or Customer.

Background Checks are regulated by the Fair Credit Reporting Act (the "FCRA"), and the background reports resulting from the Background Checks are considered "consumer reports" under the FCRA. Consumer reports may contain information on a person's character, general reputation, personal characteristics, and mode of living, including but not limited to consumer credit, criminal history, workers' compensation, driving, employment, military, civil, and educational data and reports.

United Nanny will receive a copy of each Background Check ordered or authorized through United Nanny. See Section 4.3 below for information regarding United Nanny's use of these Background Checks. If a Background Check does not come back clean, you will be emailed a copy of the results. You are responsible for making sure that the email addresses you provide to United Nanny are correct, knowing that sensitive information will be sent to it.

If a Background Check comes back clean or with information that does not result in United Nanny suspending or terminating a Nanny from using the Site and Services, the Background Check report will be forwarded to any Customer who requests it in accordance with your authorization at the time you applied to United Nanny. The results of any Background Check that results in United Nanny suspending or terminating you from use of the Site or Services will not be shared with other Users.

If a Customer orders background check pursuant to a Nanny's written authorization, the consumer reporting agency that performed the check will provide the results directly to the Customer who ordered it, regardless of its contents, based on the Nanny's authorization that the Customer obtains the check.

Special Responsibilities of Customers under FCRA

Customers may request and receive a copy of a Background Check on a Nanny via written authorization and agreement outside of these Terms, subject to the United Nanny's explicit instructions about who may have access to such a report.

If you receive a copy of a background report, you warrant that you will use such information only for a purpose permitted by FCRA, such as an employment purpose, and that you will comply with any and all applicable obligations of the FCRA as well as all other applicable consumer reporting laws.

Your responsibilities in using the information contained in the background check can be found at http://www.ftc.gov/os/statutes/fcrajump.shtm. FCRA governs the use of reports obtained from a consumer reporting agency, such as the third party consumer reporting agencies United Nanny uses.

If there is negative data in a background check you receive, and you choose to take "adverse action" (i.e. choose to pass on that individual's candidacy) on the basis of this negative data, you must agree to take certain procedural steps, which can be found at http://www.ftc.gov/os/statutes/fcrajump.shtm.These include notifying the individual who is the subject of the report of your decision to take adverse action based on information contained in the report and the subject's right to contest the accuracy or completeness of the report. Moreover, if the subject contests the report with the consumer reporting agency, you are required to suspend the hiring process while the agency researches the accuracy and completeness of the report.

United Nanny May Order and Use Background Checks About You

By using the Site or Services as a Customer or Nanny, you hereby acknowledge and agree that United Nanny has the right, but not the obligation, to use a third party consumer reporting agency on an ongoing basis to use your personal information to run periodic background checks on you for the legitimate business purpose of protecting the safety and integrity of the Site and its Users ("Additional Background Checks"). United Nanny may order these checks when you apply to Nanny and thereafter in connection with your continued use of the Services and/or interaction with the Site (such as by contacting or communicating with other members, posting or updating a job or profile, ordering or authorizing a Background Check, etc.).

These Additional Background Checks are also regulated by the Fair Credit Reporting Act (the "FCRA"), and the background reports resulting from these services are considered "consumer reports" under the FCRA. Consumer reports may contain information on your character, general reputation, personal characteristics, and mode of living, including but not limited to consumer credit, criminal history, workers' compensation, driving, employment, military, civil, and educational data and reports.

You understand and agree that United Nanny may review the information provided by the third party consumer reporting agency and that United Nanny retains the right to terminate your Nanny application and use of the Site and Services based on the information it receives from these checks, even if such information was subsequently dismissed. If United Nanny terminates your membership or access to the Site on the basis of information in a background report, it will notify you and provide you the name and contact information of the consumer reporting agency that created the report. United Nanny will also provide you a copy of the report unless the consumer reporting agency has already provided you a copy or access to it. You hereby represent, understand and expressly agree that United Nanny does not have control over or assume any responsibility for the quality, accuracy, or reliability of the information included in these checks. Furthermore, any inaccuracies in the report must be addressed with the consumer reporting agency that issued it (and not United Nanny) within the time period specified in your notice.

BY AGREEING TO THESE TERMS AND USING THE SITE, YOU AGREE TO ALLOW United Nanny TO PERFORM THESE ADDITIONAL BACKGROUND CHECKS FOR THE PURPOSES DESCRIBED ABOVE. IF YOU DO NOT WANT THESE INTERNAL BACKGROUND CHECKS TO BE PERFORMED, YOU SHOULD NOT USE THE United Nanny SITE OR SERVICES. NO FURTHER CONSENT FROM YOU IS REQUIRED FOR THESE CHECKS TO BE PERFORMED.

United Nanny May Regularly Verify Your Identity and the Accuracy of Your Representations and Warranties

By applying as a Customer or Nanny, you authorize United Nanny, and acknowledge that for purposes of promoting the safety and integrity of its Site and Services, United Nanny reserves the right, but not the obligation, to utilize third party service providers to verify on an ongoing basis that your application data is accurate and that the representations and warranties in Section 2.2 above addressing legal matters such as complaints, arrests, sex offender status, etc. are also true ("Verification Checks"). These third parties may use data from a variety of sources, under a variety of circumstances, for these site safety purposes including, without limitation, information from national criminal databases, sex offender registries, certain media streams, terrorist watch lists, criminal and fugitive watch lists, fraud watch lists, law enforcement reports, and other data.

Release of Liability for Results of Background Checks, Internal Background Checks, and Verification Checks

If you decide to use or access information included in a Background Check, you hereby represent, understand and expressly agree that those checks are not always accurate or complete (or based on information that is accurate or complete) and that the specific records searched, and the comprehensiveness of the search, varies by the type of Background Check ordered as well as the state and county where the check is performed. For example, many jurisdictions only include felony conviction records (and not, for example, misdemeanor or arrest records) in the national criminal data base, which is the only data source utilized for preliminary background checks other than the sexual offender registry. Moreover, some states include only registered sex offenders in that database.

If you decide to access, use, or share information provided by a Background Check, you agree to do so in accordance with applicable law. You also agree to indemnify and hold harmless United Nanny from any loss, liability, damage, or costs that may result from such access, use, or sharing of this information regardless of the cause. United Nanny does not assume and expressly disclaims, and you hereby agree to release United Nanny from, any loss, liability, damage, or costs that may result from the use of information provided in a background report including, without limitation, the inaccuracy or incompleteness of any such information.

You expressly acknowledge that United Nanny has no obligation to perform Additional Background Checks or Verification Checks on any Users. To the extent United Nanny performs such checks on certain Users, the checks are limited and should not be taken as complete, accurate, up-to-date or conclusive evidence of the accuracy of any information those Users have provided or of their eligibility to use the Services.

Termination

Should United Nanny determine that you are not eligible to use the Services, have violated any terms stated herein or are not suitable for participation as a User, or have mis-used or mis-appropriated Site content, including but not limited to use on a "mirrored", competitive, or third party site, United Nanny reserves the right, at its sole discretion, to immediately terminate your access to all or part of the United Nanny Site, to remove your profile from the Site, and/or to terminate your application to United Nanny, and your use of the Site and Services, with or without notice.

In any event, United Nanny also reserves the right, in its sole discretion, to terminate your access to all or part of the United Nanny Site, to remove your profile and/or any content posted by or about you from the Site, and/or to terminate your application to United Nanny, for any reason or no reason, with or without notice. If United Nanny terminates your use of the Site and Services, United Nanny will have no obligation to notify you of the reason, if any, for your termination.

Following any termination of any individual's use of the Site or the Services, United Nanny reserves the right to send a notice thereof to other Users with whom the individual may have corresponded.

United Nanny's decision to terminate an individual's application and/or to notify other Users with whom it believes the individual has corresponded does not constitute, and should not be interpreted or used as information bearing on, the individual's character, general reputation, personal characteristics, or mode of living.

However, if a Customer agrees on the provision of services from an individual, the Customer identifies through any of those Services, such agreement is solely between the Customer and the Nanny; United Nanny is not a party to any such agreement. Any issues concerning the conduct of a Customer or Nanny including, without limitation, the services received by the Customer or payment due to the Nanny, must be resolved directly by the Customer and the Nanny. United Nanny will not be held responsible and expressly disclaims any liability whatsoever for any claims, demands or damages, direct or indirect, of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such issues. By using this Site or the Services, you do hereby represent, understand, and expressly agree to hold United Nanny harmless for any claim or controversy that may arise from any disputes between you and any Customer, United Nanny, Candidates or other user(s) of the Site. 1. Affiliate Agreement

This Agreement describes the terms and conditions for participation in the United Nanny Affiliate Program. In this Agreement, the term "Affiliate" refers to you (the applicant). United Nanny affiliate program is our own internal affiliate system.

2. Affiliate URL And Promotional Code

Affiliates will be issued with a special and unique URL for the United Nanny website and the check out process of United Nanny, once they become a member of our affiliate Program. This will allow all affiliates to be paid for referrals in an accurate and justifiable way. There are no limitations of how the unique website link should be distributed, and shared with third parties. The clients must use/click on the affiliate's link in order for the affiliate to get commission.

2. Affiliate Coupon Code

Affiliates will be issued with a special and unique coupon code for the United nanny website, once they become a member of our affiliate Program. This will allow all affiliates to be paid for referrals in an accurate and justifiable way. There are no limitations of how the coupon code should be distributed, and shared with third parties. The clients must use that coupon code when making a purchase in order for the affiliate to get commission.

3. Commissions

You will receive 10% of the revenue per purchase/order placed on the website with the unique URL/CODE. Commissions may increase at the discretion of United Nanny however, both parties will be notified and will come to an agreement before any changes are made. Full payment from the customer using the unique URL is the only way the commission can be obtained and recorded. Accurately spelled URL/CODE for customers to be made aware of, are the sole responsibility of the affiliate. If a customer has returned an item, the commission for that particular transaction will nullified and evidence of the customer’s refund will also be sent to the affiliate. Earnings and payments history are not allowed to be discussed and disclosed with anyone other than the appointed members at United Nanny, and the approved affiliate member (you).

4. Tracking Commissions

All affiliates will be able to track their commissions on the website Affiliatly (https://www.affiliatly.com). This is an external company which allows both United Nanny and the affiliates to track the performance of the affiliate program - their stats, earnings and payments history - in an accurate and justifiable way. Affiliates will be supplied with their unique login code and ID so that they can track their individual stats, earnings and payments history. Each individual’s statistics, earnings and payments history will not be shared with other affiliates. Only Affiliatly, United Nanny and the individual affiliate will be able to see their information.

5. Payment

United Nanny will pay affiliates via Zelle on the last day of every month/per reaching the minimum payout sum.

6. Order Fulfillment

United Nanny will be responsible for processing every order placed by a customer with the use of the affiliate’s URL/CODE. Affiliates are not authorized to collect payments or sell any United Nanny products or memberships from other websites as a ‘distributor’. Affiliates may only be granted permission to resale products which were gifted to them, or purchased by themselves, for personal use only, not commercial use.

7. Promotion Restrictions

You are free to promote your own websites and business ventures. You should know that certain forms of advertising are always prohibited by United Nanny and may be determined on a case by case bases. For example, advertising commonly referred to as "spamming" is unacceptable to us and could cause damage to our name.

8. Relationship of Parties

Affiliates are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliates have no authority to make or accept any offers or representations on our behalf. Affiliates will not make any statement, whether on their sites or otherwise, that reasonably would contradict this statement.

9. Terms and Termination

The terms of this Agreement will begin when you accept and will end when terminated by either party. Either United Nanny, or the affiliate may terminate this Agreement at any time, with or without cause. Upon the termination of this Agreement for any reason, all licenses granted hereunder shall immediately terminate and you will immediately cease use of, and be removed from Affiliatly (https://www.affiliatly.com). Your unique URL/CODE will also be discontinued, and we will no longer be liable to pay you commission.

10. Miscellaneous

If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.This Agreement shall be governed by and interpreted in accordance with the laws in United States of America without regard to the conflicts of laws and principles thereof. In case there are any conflict/s, such as you not abiding with these terms whilst the contract is still active, you will need to provide your ID, this includes your proof of address. By signing up with the United Nanny Affiliate Program, you acknowledge that you have read this Agreement and agree to all its terms and conditions. Indemnification

You agree that no joint venture, partnership, employment, or agency relationship exists between you and United Nanny as a result of this agreement or use of the Site. United Nanny's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of United Nanny's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by United Nanny with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and United Nanny with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and United Nanny with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
